Terms of Service.
These Terms govern your access to and use of the Voyazio Platform, operated by Cognimit Technologies LLP.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Cognimit Technologies LLP, a Limited Liability Partnership incorporated under the laws of India ("Cognimit", "Company", "we", "us", "our"), governing your access to and use of the Voyazio platform, website (voyazio.com), applications, and related services (collectively, the "Service").
Voyazio is a brand and product owned and operated by Cognimit Technologies LLP. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- ·"Account" means a registered user account on the Voyazio Platform.
- ·"Customer Data" means any data, content, or information uploaded to or generated through the Service by Users.
- ·"Subscription" means a paid subscription to the Service for a defined term and feature set.
- ·"Intellectual Property" means all patents, trademarks, copyrights, trade secrets, and other proprietary rights.
- ·"Confidential Information" means non-public business or technical information disclosed by either party.
3. Eligibility and Account Registration
The Service is intended for use by businesses and individuals who are at least 18 years of age and have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.
To access certain features, you must register an Account by providing accurate, current, and complete information. You are responsible for safeguarding your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized access or security breach.
We reserve the right to suspend or terminate Accounts that violate these Terms or pose security or operational risks.
4. Description of the Service
Voyazio is a technology infrastructure platform designed for travel businesses, comprising modular components including but not limited to Voyazio Sites (websites), Voyazio Pulse (communication automation), Voyazio Book (booking infrastructure), Voyazio CRM, Voyazio Pay (payments), Voyazio Insights (analytics), Voyazio AI, Voyazio Connect (integrations), and Voyazio Network (ecosystem).
The features, functionality, and availability of specific modules may vary based on your Subscription plan, beta status, and ongoing product development. We may modify, suspend, or discontinue any aspect of the Service at our discretion, with reasonable notice for material changes affecting paid Subscriptions.
5. Subscription, Fees, and Payment
Access to certain features requires a paid Subscription. Subscription fees, billing cycles, and applicable taxes are described in your order or in the pricing information presented at the time of purchase.
- ·Fees are billed in advance on a monthly or annual basis, as elected at the time of subscription.
- ·All fees are exclusive of applicable taxes (including GST), which will be added where applicable.
- ·Payment is due upon receipt of invoice unless otherwise agreed in writing.
- ·Failure to pay may result in suspension or termination of Service after notice.
- ·Subscription fees are non-refundable except as expressly provided in our Refund Policy or required by applicable law.
- ·We may revise pricing with at least thirty (30) days' notice. Price changes will not affect the current billing cycle of an active Subscription.
6. Acceptable Use
You agree not to use the Service to:
- ·Violate any applicable law, regulation, or third-party right.
- ·Transmit content that is unlawful, fraudulent, defamatory, obscene, or infringing.
- ·Send unsolicited communications (spam) or engage in deceptive practices.
- ·Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- ·Reverse engineer, decompile, or attempt to extract source code from the Service.
- ·Use automated means (bots, scrapers) to access the Service without our written permission.
- ·Resell, sublicense, or commercially exploit the Service except as expressly permitted.
- ·Upload viruses, malware, or any code intended to disrupt or damage systems.
- ·Misrepresent your identity, affiliation, or authority.
Violation of this section may result in immediate suspension or termination of your Account, without refund, and may give rise to legal action.
7. Customer Data and Ownership
You retain all rights, title, and interest in and to Customer Data. By using the Service, you grant Cognimit Technologies LLP a limited, worldwide, royalty-free license to host, store, process, transmit, display, and use Customer Data solely to provide and improve the Service, comply with legal obligations, and as otherwise authorized by you.
You represent and warrant that you have all necessary rights, consents, and authorizations to upload Customer Data and that such data does not violate any law or third-party rights.
You are responsible for the accuracy, legality, and quality of Customer Data and for compliance with all data protection obligations to your end customers, including providing appropriate notices and obtaining lawful consent.
8. Intellectual Property Rights
The Service, including all software, technology, designs, trademarks (including "Voyazio" and the Voyazio logo), service marks, content, and Documentation, is owned by Cognimit Technologies LLP or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of India and other jurisdictions.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the Subscription term.
Nothing in these Terms transfers ownership of any Intellectual Property to you. All rights not expressly granted are reserved.
9. Confidentiality
Each party agrees to protect the other's Confidential Information using the same degree of care it uses to protect its own (and no less than reasonable care). Confidential Information shall be used only for the purposes of these Terms and shall not be disclosed except to employees, contractors, or advisors with a legitimate need to know who are bound by similar confidentiality obligations.
Confidentiality obligations survive termination of these Terms for a period of three (3) years, except for trade secrets, which remain confidential until they enter the public domain through no fault of the receiving party.
10. Warranties and Disclaimer
We warrant that the Service will be provided with reasonable care and skill in accordance with industry standards.
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
We do not warrant that the Service will be error-free, uninterrupted, or secure, or that defects will be corrected. You acknowledge that internet-based services are subject to outages, delays, and security risks beyond our control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COGNIMIT TECHNOLOGIES LLP, ITS PARTNERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) INR 10,000.
These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and shall survive termination.
12. Indemnification
You agree to indemnify, defend, and hold harmless Cognimit Technologies LLP, its partners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Data uploaded by you; (c) your breach of any representations or warranties; or (d) your violation of any third-party rights.
13. Term and Termination
These Terms remain in effect for the duration of your Subscription and continue until terminated as set forth herein.
- ·Either party may terminate for convenience by providing thirty (30) days' written notice prior to the next renewal date.
- ·We may suspend or terminate the Service immediately for material breach, non-payment, or violation of acceptable use.
- ·Upon termination, your access to the Service will cease, and we will retain Customer Data for a reasonable period to allow data export, after which we will delete it in accordance with our data retention policy.
- ·Provisions that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law) shall survive.
14. Modifications to Terms
We may modify these Terms from time to time. Material changes will be notified via email or through the Service at least thirty (30) days before they take effect, except where immediate changes are required by law. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within sixty (60) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in English, with the seat and venue at the registered office of Cognimit Technologies LLP. The award shall be final and binding.
Subject to the arbitration clause, the courts at the registered office of Cognimit Technologies LLP shall have exclusive jurisdiction.
16. Miscellaneous
Entire Agreement: these Terms, together with the Privacy Policy, Cookie Policy, and any order forms or addenda, constitute the entire agreement between the parties.
Severability: if any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: neither party shall be liable for any failure or delay in performance due to causes beyond reasonable control, including natural disasters, war, terrorism, government actions, or internet outages.
